1. Introduction

These Terms of Service ("Terms") govern your access to and use of the SpinRush Arcades website, mobile applications, and all related services (collectively, the "Platform"). • Virtual Credits have no real-world monetary value
• Virtual Credits cannot be sold, transferred, or exchanged for real money, goods, or services
• Virtual Credits cannot be redeemed for cash under any circumstances
• You do not own Virtual Credits; they represent a limited license right governed by these Terms
• We reserve the right to manage, regulate, control, modify, or eliminate Virtual Credits at our sole discretion
• The purchase or sale of Virtual Credits outside the Platform is strictly prohibited

We may provide Virtual Credits as free promotional items at our discretion. All games on SpinRush Arcades are designed for entertainment purposes only.

5. User Conduct

When using our Platform, you agree not to:

• Use the Platform for any illegal purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any portion of the Platform

• Attempt to circumvent any content filtering techniques we employ
• Develop or use any third-party applications that interact with the Platform without our written consent
• Use the Platform to transmit any viruses, worms, defects, Trojan horses, or other harmful items

6. Intellectual Property

All content included on our Platform, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the compilation thereof, is the property of SpinRush Arcades or its licensors and is protected by international copyright, trademark, and other intellectual property laws.

SpinRush Arcades grants you a limited, non-exclusive, non-transferable, revocable license to use the Platform for personal, non-commercial purposes in accordance with these Terms. You may not:

• Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from the Platform
• Decompile, reverse engineer, or disassemble any software contained on the Platform
• Remove any copyright, trademark, or other proprietary notices from our content
• Use any content for commercial purposes without our express written consent

7. User Content

You may have the opportunity to submit content to the Platform, including profile information, comments, feedback, and other materials (collectively, "User Content"). You retain ownership of your User Content, but you grant SpinRush Arcades a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, transferable, and sublicensable license to use, copy, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in any media.

You represent and warrant that:

• You own or have the necessary rights to your User Content
• Your User Content does not infringe upon the intellectual property rights of any third party
• Your User Content complies with these Terms and all applicable laws

We reserve the right to remove any User Content at our sole discretion.

8. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

SpinRush Arcades does not warrant that:

• The Platform will operate error-free or uninterrupted
• Defects will be corrected
• The Platform is free of viruses or other harmful components
• The results obtained from using the Platform will be accurate or reliable

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPINRUSH ARCADES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Platform
• Any unauthorized access to or use of our servers and/or personal information stored therein
• Any interruption or cessation of transmission to or from the Platform
• Any bugs, viruses, or the like that may be transmitted through the Platform

IN NO EVENT SHALL SPINRUSH ARCADES' TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED ONE HUNDRED DOLLARS ($100).

10. Indemnification

You agree to defend, indemnify, and hold harmless SpinRush Arcades, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Platform.

11. Termination

We reserve the right to terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of such changes by updating the "Last Updated" date at the bottom of these Terms. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms.

We encourage you to review these Terms periodically for any changes.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law principles. Any legal action or proceeding arising out of or relating to these Terms or your use of the Platform shall be exclusively brought in the courts located in Toronto, Ontario, Canada, and you consent to the personal jurisdiction of such courts.
